USER AGREEMENT

Welcome to Innovation Pioneers International Network

Thank you for choosing to become a user of Innovation Pioneers International Network including the website www.innovationpioneers.net (the “Network”). The Network is created by Innovation Pioneers, org. no. 556585-2224, for the purpose of driving innovation forward by spreading knowledge, tools and insights around innovation. Through the Network, we nominate and invite specialists from various industries to share, discuss and develop ideas.

This document (the “User Agreement”) contains terms and conditions for each individual user of the Network (“User”). A User must accept this User Agreement and may use the services provided in the Network in accordance with this User Agreement.

Companies that have become members of the Network are entitled to distribute user accounts to certain employees of the company as agreed between each company and Innovation Pioneers. A User, who is using the Network on behalf of a company or other legal entity, is nevertheless individually bound by this User Agreement.

Participants that have purchased tickets to events, or is attending any free events arranged by Innovation Pioneers members have limited access to the Network and must accept this User Agreement before using the services provided in the Network. Such participant is also referred to as a “User” in this User Agreement.

2. Eligibility

To be eligible to use the Network, you must meet the following criteria: (1) are 18 years of age or older; (2) are not a direct competitor to Innovation Pioneers; (3) are not using the Network for reasons that are in competition with Innovation Pioneer; (4) are not currently restricted or otherwise prohibited to use the Network or from having a User account to use the Network; (5) will only maintain one User account at any given time.  

3. Sign-In Credentials

You agree to: (1) keep your password secure and confidential; (2) not permit others to use  account; (3) refrain from using other User’s accounts; (4) refrain from selling, trading or otherwise transferring your User account to another party; and (5) refrain from charging anyone for access to any portion of the Network, or any information therein.

4. The User’s Warranty

4.1  By providing the Network and Innovation Pioneers with information, you represent and warrant that you are entitled to submit the information and that the information is accurate, not confidential, and not in violation of any laws, contractual restrictions, intellectual property rights or other third party rights. Further, you are responsible for anything that happens through your account until you close down your account in accordance with section 14 below or prove that your account security was compromised due to no fault of your own. 

4.2 You may not change or try to change any information on the Network, except the information that you have posted on the Network.

4.3 You may not expose the Network for files that contain viruses, Trojan horses, damaged files or other programs that may damage the function of the Network or computers or properties of others. The information that you post on the Network shall not be unlawful, libelous, abusive, obscene, discriminatory or otherwise objectionable.

4.4 By accepting this User Agreement, you specifically give Innovation Pioneers a free of charges and royal free right to use any information or materials that you post on the Network for marketing purposes.

 5. Managing your Account

A User can manage its account and make changes directly online.

6. Fee

6.1 Participants for single events are given a restricted User account that is free of charge. The User account has access to content associated with the specific event the User is attending.

6.2 A Company membership includes 20 User accounts with full access to the network. The annual fee for membership is 2000 EURO (exclusive of VAT) and gives the company or organization 20 user accounts.  The User account is valid during one year from the date of payment. 6.3  When a User account is renewed, the new term begins on the date of renewal and expires one year from the renewal date. If the User account is not renewed, the User account will be terminated without prior notice.

6.4  Payment shall be made against invoice which will be sent to the User (via mail or email). Term of payment is thirty (30) days from the invoice date.

7. Refund

If you cancel your User account, you will only be entitled to a full refund of your User account if you cancel during the first thirty (30) days of your initial or renewed User account term. No refunds will be made after such thirty (30) days period.

8. User-to-User Communication

8.1  The Network offers from time to time several forums and blogs on the Network where Users can post comments and observations. The Network also enables sharing of information by allowing Users to post updates, links to videos, pictures, news articles and other information to their profile or forum.

8.2   Ideas and information that Users share and post on the Network may be seen and used by other Users, and Innovation Pioneers cannot guarantee that other Users will not use the ideas and information that you share on the Network. Therefore, all ideas and/or information that you would like to keep confidential or that is subject to third party rights, should not be posted on the Network. Innovation Pioneers is not responsible for a User’s misuse of any content or information that a User has posted on the Network.

9. Links to Third Party Websites

Innovation Pioneers may include links to third party websites on the Network. We advise you to review any applicable terms and/or privacy policy of a third party website before using or sharing information through a third party website. Innovation Pioneers is not responsible for any content, features, advertising or any other materials available from time to time on third party websites, or for any damage that may occur on a User’s computer or other property in connection herewith.

10. Network Availability

Innovation Pioneers will continuously seek to update and improve the Network. However, information may from time to time be incorrect or become out of date and Innovation Pioneers reserves the right to modify, replace, suspend, refuse access to or disconnect the Network or any information on the Network without prior notice.

11. Misuse of the Network

Innovation Pioneers may restrict, suspend or terminate the account of any User who misuses the Network without payment. Misuse of the Network includes creating multiple or false profiles, infringing any intellectual property rights, or any other behavior that Innovation Pioneers, in its sole discretion, considers as a misuse of the Network. 

12. Intellectual Property Rights

Any information posted by Innovation Pioneers on the Network is the property right of Innovation Pioneers and may not be copied, downloaded or used in any other way without the prior written consent from Innovation Pioneers. All Users shall respect the intellectual property rights of others. All materials you post on the Network shall not infringe upon patents, trademarks, trade secrets, copyrights or other intellectual property rights.

13. Marketing

By accepting this User Agreement, the User gives his or her consent to receive information and offers to his or her e-mail from Innovation Pioneers. The User may notify Innovation Pioneers, by mail or e-mail, at any time that the User does not wish to receive such information and offers. 

14. Termination

You may terminate your User account at any time, through written notice via e-mail to info@innivationpioneers.net. The notice will be effective as soon as we have processed your notice and your User account will then terminate. 

15. The Right to Amend the User Agreement

Innovation Pioneers reserves the right to make changes to this User Agreement from time to time. The User is obligated to accept the changes when logging in to the Network.

16. Privacy Policy

All processing of the Users’ personal data will be in accordance with this User Agreement and Innovation Pioneers’ Privacy Policy (and any document referred to in them). You should carefully read our Privacy Policy before deciding to become a User as it governs our treatment of any information you submit to us.   

17. Liability

17.1  Innovation Pioneers is not liable for any damages, losses or costs related to all third party claims caused by the User’s failure to comply with this User Agreement, including, without limitation, the User’s submission of content that violates third party rights or applicable laws, any content the User post on the Network or any activity in which the User engage on or through the Network.

17.2  In the event of any error or mistake occasioned by Innovation Pioneers or its personnel, Innovation Pioneers’ liability shall be limited only to the amount of Innovation Pioneers’ fees for the User account. Innovation Pioneers shall not be liable for any consequential or indirect damages or loss.

18. Force Majeure

Innovation Pioneers shall be excused from the performance or punctual performance of any of its obligations under this User Agreement if such performances are prevented, restricted or interfered with for any reason beyond the reasonable control of Innovation Pioneers, including but not limited to, fire, flood, earthquake, explosion or other casualty or accident (“Force Majeure”).  Innovation Pioneers shall in such events promptly notify the User.

20.  Law and Jurisdiction

20.1  This User Agreement and the Privacy Policy are governed by Swedish law.

20.2  Any dispute, controversy or claim arising out of or in connection with this User Agreement or the Privacy Policy, or the breach, termination or invalidity thereof, shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (the SCC Institute).
